1. General Provisions.
1.1 Armenian Community on Malta (hereinafter - Community) – is a
nongovernmental organization based on self – government that realizes
its activity in accordance with the Constitution of Republic of Malta,
current legislation of the republic and the given Charter.
1.2 Community unites Armenians and members of their families (Malta
residents) on a voluntary basis in order to protect their interests, to
develop Armenian culture, to popularize their achievements, to raise
social and cultural activity of Armenian population and to consolidate
friendship between nations, living on the island.
1.3 Community is a legal entity with an independent balance, account
in financial institutions, seal and stamp, blanks with their names and
symbols.
1.4 Community operates on the territory of Republic of Malta and EU.
1.5 Legal address of Community is: Republic of Malta.
2. Goals and Objectives
2.1 Community aims at uniting strain and efforts of Armenian
population to preserve and develop Armenian culture and language,
to protect interests and rights of Community members, to consolidate
friendship between nations in Republic of Malta.
2.2 To reach the goals Community:
-
contributes to the consolidation and development of friendship between Armenians and other people;
-
realizes wide-spread charitable activity;
-
uses all the opportunities to fulfill Armenians’ national and
cultural needs, especially those concerning education, socialization,
creation of cultural centers and satisfaction of religious requirements;
-
considers as its priority to introduce interests of Community
members, to help and contribute them in all their activities within the
bounds of current legislation of Malta;
-
contributes to publishing and spreading information that
propagandizes the achievement of Armenian cultural centers, to
organization of exhibitions and visual agitation;
-
organizes contests, seminars, conferences and festivals,
participates in these activities, collaborating with similar foreign
organizations;
-
raises common activity for the solution of Charter objectives
through mass media, lectures, collection of voluntary contribution,
cultural and educational activity, organization of auctions, lottery
etc.;
-
participates in preparation and realization of economical, social,
scientific researches and cultural and educational programs, within the
bounds of Charter;
-
purchases property for business within the bounds of Community and legislation of Republic of Malta.
3. Structure of Community
3.1 Community unites individual members. All the members qualify equal rights and follow the Charter.
3.2 Members’ Assembly is the superior body of Community. Assembly is
summoned by the decision of the Council of Community at least once a
year. Out-of-turn Assembly is summoned on request of 1/3 of Community
members.
3.3 Decisions of Assembly are taken by а majority vote of present
members and are entered in the minutes that sing the Chairman and
Secretary of Assembly. The voting procedure and the poll are defined by
Assembly.
3.4 Assembly is considered to be law competent if 1/3 of Community members took part in it.
3.5 Community Assembly:
-
elects Community Council and Inspection commission for 5 years period;
-
defines numerical strength of the Council and Inspection commission;
-
elects the Chairman of Community Assembly;
-
discredits pre-term members of Council and Inspection commission of Community;
-
approves charter and reports of Community Assembly;
-
defines the membership fees;
-
considers and confirms arrangements of Community activities;
-
considers complaints upon actions and decisions of Assembly and Inspection commission of Community.
3.6 Community Council:
-
is formed by Community members elected on Assembly;
-
is regarded to be law competent if 3/5 of Community Assembly members take part in it;
-
make decisions by a majority vote of present members;
-
elects from its staff vice-Chairman;
-
holds sessions at least once a month;
-
coordinates Community members’ activity;
-
defines the ways of implementation of Community Council decisions;
-
decides upon formation of organization department, establishment
and development of relations with other communities and organizations;
-
initiates at Assembly on making changes and add-inns in the Charter, reorganization and liquidation of Community;
-
organizes and prepares assemblies, cultural and other action in purpose to fulfill the Charter's objectives;
-
confirms financial accounts, estimates, list of members of staff of Community;
-
decides on affiliation with and abandonment from Community membership;
-
decides on other questions of Community activities that do not necessarily cover Assembly’s terms of reference.
3.7 The Chairman of Community Council:
-
presides current activity of Community, Community Council and organization departments;
-
is responsible for public work and economical activity of Community, Council and organization departments;
-
hires and fires staff members of Community;
-
represents Community in the relationships with other organizations and offices;
-
sings agreements, letters and applications on behalf of Community;
-
is qualified as the first to sing financial, legal, in-house and other documents;
-
takes under his control decision implementation procedure of Community Council;
-
has the right to call special meeting of Assembly and Council of Community;
-
has the right of the deciding vote when election disagreements at Community Council session occur;
-
in Chairman’s absence his deputy carries out his functions.
3.8 Inspection commission of Community exercises control of financial and economical activities of Community.
3.9 Inspection commission elects Chairman and Secretary from its staff.
3.10 Community Council members cannot belong to Inspection commission.
3.11 Inspection commission of Community:
-
audits financial and economical activities of Community at least once a year;
-
inventories and audits economical activities of organization departments;
-
concludes on annual reports of Community Council.
4. Community members, their rights and responsibilities
4.1 Community members may be represented by Armenians, their family
members (citizens of Republic of Malta, foreign counties’ citizens and
people without any citizenship), who reached 18 years old and are Malta
residents.
4.2 One can be affiliated with Community on personal application basis.
4.3 A Community member has the right to:
-
elect and be elected to all the bodies of Community;
-
make suggestions to governing bodies of Community,
governmental and nongovernmental organizations to fulfill goals and
objectives provided by the Charter;
-
take active part in realization Community’s objectives;
-
participate in creative festivals, contests, rest
evenings, concerts, exhibitions and other activities organized by
Community;
-
participate in organizational, propagandistic, informational and other activities of Community.
4.4 A Community member is obliged to:
-
follow the Charter, take active part in Community activity in accordance with its goals and objectives;
-
carry out Community's instructions, contribute to Community extension;
-
take care about Armenian culture prestige, serve as an example of high morality, patriotism and internationalism.
4.5 Abandonment from Community membership is implemented on
Community Council decision which is made on the grounds of the Charter
violation, systematic non-payment of membership fees and also in view
of serious damage caused to Community authority or on one’s own
initiative. Community membership is incompatible with contribution to
organizations and institutions that practice or propaganda social,
national and religious intolerance.
5. Property and Monetary Fund of Community.
5.1 Community may have buildings, facility, housing resources,
equipment, property, cash resources, stock and other securities,
publishing houses, electronic mass media, enterprises, funds, land,
real estate.
5.2 Community monetary funds are formed from membership fees and
charitable endowment, humanitarian aid, industrial and economical
activities and other takings allowed by law.
5.3 Property, purchased by Community by own funds, and also gained
as a donation or gratuitous assignment from other organizations or
private person, is positioned on its balance and is its public property.
5.4 Community accounts for its debts by all its property. Community
doesn’t account for its members’ debts, as well as Community members
doesn’t account for Community’s debts.
6. The order of making changes and add-inns in the Community Charter.
The Charter is accepted on Community general session, and is subjected
to registration in (name registration organization on
Malta). Changes and add-inns are made in the same order.
7. Liquidation of Community.
7.1 Community’s activity can be ceased by its reorganization (junction, division, joining) or liquidation.
7.2 Community reorganization is realized by Council decision, Community liquidation - by Council or court decision.
7.3 The body that made a decision on Community liquidation forms
Liquidation Commission that settles property and other questions in
accordance with current legislation of Republic of Malta.
7.4 Community property goes to assignee after reorganization.
7.5 Community property after liquidation is directed to objectives implementation provided in the Charter.
